Tata Consumer Products Completes Merger of Three Wholly-Owned Subsidiaries

Tata Consumer Products Ltd. (TCPL), a leading player in the Fast-Moving Consumer Goods (FMCG) sector, has successfully completed the merger of its three wholly-owned subsidiaries. The subsidiaries involved in this strategic move are Tata Consumer Soulfull Pvt. Ltd., NourishCo Beverages Ltd., and Tata SmartFoodz Ltd.

The merger has received the necessary approvals from the National Company Law Tribunal (NCLT) and other regulatory authorities. According to the company, all conditions outlined under Clause 17 of the merger scheme, including the filing of certified copies of the order with the Registrar of Companies in Form INC-28, have been met.

“We wish to inform you that the conditions outlined under Clause 17 of the Scheme, including the filing of certified copies of the order with the Registrar of Companies, of the respective companies, in Form INC-28, have been duly completed,” TCPL said in a regulatory filing.

This consolidation is aimed at simplifying and streamlining TCPL’s business operations. The company believes that the merger will unlock efficiencies and synergies across its operations. Despite the integration, the operating structure of these business units will remain unchanged. Each unit will continue to focus on its respective product portfolios, which include millet-based products, ready-to-drink beverages, and ready-to-cook/ready-to-eat offerings. These sectors are seen as key growth areas for TCPL.

The company added, “This consolidation is part of our effort to simplify and streamline the business. The merger will unlock efficiencies and synergies.”

Tata Consumer Products’ portfolio includes some of the most recognizable brands in the market, such as Tata Tea, Tetley, Organic India, Eight O’Clock Coffee, Tata Coffee Grand, Himalayan Natural Mineral Water, Tata Copper+, and Tata Gluco+. The company reported a consolidated turnover of Rs 15,206 crore.
